1. Acceptance of Terms

By accessing and using the SourcePilot Global website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our website or services. We reserve the right to modify these terms at any time. Continued use of our services following such modifications constitutes your acceptance of the updated terms.

2. About Our Services

SourcePilot Global operates as a sourcing agent and intermediary between international buyers and Chinese manufacturing facilities. We are not a manufacturer, direct seller, or distributor of products. Our role is to:

• Facilitate connections between buyers and pre-qualified Chinese factories
• Provide product sourcing and supplier matching services
• Conduct price negotiations on behalf of buyers
• Manage quality inspections and factory communications
• Coordinate logistics and shipping arrangements

All products are sourced directly from manufacturers. SourcePilot Global does not take ownership of goods and acts solely as a representative and intermediary throughout the sourcing and procurement process.

3. Service Process

Our typical sourcing process follows these stages:

• Inquiry: Client submits product specifications, quantity requirements, and budget
• Quote: We provide supplier quotations based on factory responses
• Sample: Client may request product samples for evaluation and approval
• Production: Approved orders are placed with selected factory
• Quality Control (QC): We conduct in-factory inspection before shipment
• Shipping: Goods are exported and delivered to client

Quotations provided by SourcePilot Global are estimates based on current factory pricing and are not binding until formally confirmed in writing by both parties. Actual prices may vary based on final factory quotes, real-time exchange rate fluctuations, raw material cost changes, and minimum order quantities.

4. Payment Terms

Standard payment terms for production orders are as follows:

• Deposit: 30% of total order value required to commence production
• Final Payment: 70% balance due before goods are shipped
• Currency: All prices and payments are quoted in USD unless otherwise agreed in writing
• Payment Methods: Bank transfer (T/T), PayPal, Wise, and other mutually agreed methods

Deposits are non-refundable once production has begun at the factory. Payment deadlines must be met to avoid order delays or cancellation. SourcePilot Global is not responsible for payment processing delays caused by banks or third-party payment processors.

5. Intellectual Property

All designs, specifications, technical data, and other proprietary information provided by the client shall be treated as confidential. SourcePilot Global agrees not to disclose this information to third parties without written consent, except as necessary to obtain factory quotations and production. We do not claim any ownership rights to client-provided designs or specifications. Upon request, we are willing to sign Non-Disclosure Agreements (NDAs) with clients to further protect proprietary information.

6. Quality & Inspection

SourcePilot Global provides professional quality control (QC) inspection services to verify that manufactured goods meet agreed specifications and quality standards. Our QC process includes:

• In-factory inspection before shipment
• Detailed documentation of inspection findings with photographs
• Reporting of any defects or discrepancies identified

Clients are required to review and approve inspection reports before goods are shipped. If defects are found during QC, the client must decide whether to request factory rework, replacement, or order rejection. SourcePilot Global does not ship goods without client approval of the inspection report or acknowledgment of known defects.

7. Shipping & Delivery

Estimated delivery times provided by SourcePilot Global are approximations only and are not guaranteed. Actual delivery may be delayed due to factors beyond our control, including but not limited to:

• Factory production delays
• Customs clearance procedures and inspections
• Carrier delays and scheduling
• Port congestion and logistics disruptions
• Weather conditions and unforeseen events

Risk and ownership of goods transfer to the buyer once the shipment is handed to the carrier (Free on Board—FOB terms). The buyer is responsible for arranging import insurance and is liable for all import duties, taxes, and fees in the destination country. SourcePilot Global recommends all shipments be insured during transit.

8. Limitation of Liability

To the fullest extent permitted by law, SourcePilot Global shall not be liable for:

• Factory production delays or manufacturing errors beyond our direct control
• Customs seizures, delays, or denial of entry
• Damage to goods during transit (covered under shipping insurance if purchased)
• Product compliance or regulatory violations in the buyer's destination country
• Indirect, incidental, consequential, or punitive damages

Our total liability for any claim arising from our services is limited to the service fees or order value paid by the client in the twelve months preceding the claim, whichever is less.

9. Dispute Resolution

In the event of a dispute between SourcePilot Global and a client:

• Step 1: Both parties shall attempt to resolve the dispute through good faith negotiation
• Step 2: If negotiation fails, either party may submit the dispute to arbitration
• Step 3: Arbitration shall be conducted under the rules of the China International Economic and Trade Arbitration Commission (CIETAC)
• Step 4: The arbitration award shall be final and binding

The place of arbitration shall be Beijing, People's Republic of China. Each party shall bear its own legal costs unless the arbitration panel orders otherwise.

10. Website Usage

The content, design, and information on the SourcePilot Global website are provided for informational purposes only. You agree not to:

• Reproduce, modify, or distribute website content without written permission
• Use automated tools to scrape, crawl, or extract data from our website
• Resell or redistribute our services without authorization
• Use our website for any unlawful or harmful purpose

SourcePilot Global reserves the right to modify, update, or remove website content at any time without notice. We also reserve the right to restrict access to our website or services at our sole discretion.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles. All legal proceedings shall take place in China.
